Apex Navigator Terms of Service

1. Acceptance of Terms; Binding Agreement

By using this website or purchasing, enrolling in, or participating in any Apex Navigator program, you confirm that you are at least 18 years old, that you have the legal capacity to enter into this agreement, and that you accept these Terms in full on your own behalf and on behalf of any entity you represent.

We may revise these Terms at any time. Revisions take effect when posted on this page with an updated date. Your continued use of the website or the Services after a revision is posted constitutes acceptance of the revised Terms. It is your responsibility to review this page periodically.

2. Definitions

• "Company," "we," "us," "our" means Apex Navigator LLC, a Delaware limited liability company.
• "Client," "you," "your" means any person or entity that accesses the website or purchases, enrolls in, or participates in the Services.
• "Services" means the educational programs, coaching calls, strategy sessions, mentorship, community access, software walkthroughs, templates, recordings, and any other materials or support we make available.
• "Materials" means all content we provide in connection with the Services, including videos, recordings, documents, spreadsheets, templates, scripts, frameworks, supplier information, and written or verbal guidance.
• "Program" means any specific paid offering, cohort, or membership tier you enroll in.

3. Nature of Services; No Employment or Agency Relationship

The Services are educational and informational in nature. We teach concepts, systems, and processes related to building and operating an Amazon wholesale business. We do not operate your business for you, and nothing in the Services creates an employment, partnership, joint venture, franchise, or agency relationship between you and Apex Navigator.

We are not a law firm, accounting firm, tax advisor, financial advisor, or licensed broker, and nothing we provide constitutes legal, tax, accounting, investment, or financial advice. You are solely responsible for your own business decisions and for obtaining independent professional advice where appropriate.

You remain solely responsible for compliance with all laws, marketplace policies, and third-party terms that apply to your business, including the policies of Amazon and any supplier, distributor, or brand you work with.

4. Account Registration; Access Credentials

Certain Services require an account on our learning platform or community. You agree to provide accurate and complete information when registering and to keep that information current.

Your login credentials are personal to you. You may not share, sell, transfer, lend, or otherwise allow any other person to use your credentials or access the Materials. You are responsible for all activity that occurs under your account. Notify us immediately at support@apexnavigator.com if you suspect unauthorized use.

We may suspend or terminate any account we reasonably believe is being shared, resold, or accessed in violation of these Terms, without refund.

5. Program Access; License; Use Restrictions

Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Materials for your own individual business education during your access period.

You may not:

• Copy, reproduce, republish, distribute, sell, rent, license, or sublicense the Materials;
• Record, screen-capture, transcribe, or redistribute coaching calls, community discussions, or live sessions;
• Create derivative works, competing programs, courses, or training based on the Materials;
• Use the Materials to train, fine-tune, or build any machine learning or artificial intelligence system;
• Reverse engineer, scrape, or use automated tools to extract the Materials;
• Remove or obscure any copyright, trademark, or proprietary notice.

Access is granted for the period stated at the time of purchase. Where no period is stated, access is provided for as long as we continue to offer the Program, and we may retire or replace a Program at our discretion.

6. Client Obligations

The results you obtain depend primarily on your own effort, capital, judgment, and follow-through. To participate, you agree to:

• Provide accurate information about your business, capital, and circumstances;
• Attend scheduled calls or give reasonable notice when you cannot;
• Do the implementation work between sessions;
• Treat coaches, staff, and other clients with professionalism and respect;
• Maintain your own compliance with Amazon's policies and with all supplier agreements;
• Fund your own inventory, tooling, and operating expenses.

Missed or unused calls, sessions, or access periods are not refundable and do not extend your access term.

7. Prohibited Conduct; Non-Solicitation; Community Protection

To protect the integrity of our community, you agree that you will not:

• Solicit, recruit, or market to other clients, students, coaches, or staff for any product, service, program, investment, or opportunity without our prior written consent;
• Harass, threaten, defame, or discriminate against any participant;
• Post spam, misleading claims, or content that violates any law or third-party right;
• Misrepresent your identity, results, or affiliation with Apex Navigator;
• Share supplier lists, contacts, or sourcing data obtained through the Services with anyone outside the Program;
• Interfere with the operation of the website, learning platform, or community.

We may remove content, restrict participation, or terminate access for any violation of this section, at our sole discretion and without refund.

8. Fees; Payment; No Refunds; Chargebacks; Satisfaction Guarantee

Fees for each Program are disclosed before purchase. By enrolling, you authorize us and our payment processors to charge the payment method you provide for the full amount, including every installment of any payment plan you select.

All fees are final and non-refundable, except under the limited Satisfaction Guarantee described below. Enrollment reserves your seat, coaching capacity, and access to proprietary materials, and those costs are incurred by us immediately.

Payment plans and late payment. If you enroll in a payment plan, you remain responsible for the entire balance regardless of whether you continue to participate. Payments must be made on schedule. A late payment may incur a late charge of five percent (5%) of the overdue amount, plus interest of one and one-half percent (1.5%) per month (18% per year) or the maximum rate permitted by law, whichever is lower. A failed, declined, or reversed payment may incur a processing fee equal to the greater of five percent (5%) of the payment or twenty-five dollars ($25). We may suspend access until your balance is current, and we may recover reasonable collection and legal costs permitted by law.

Satisfaction Guarantee. We offer a limited, conditional guarantee to clients who do the work and still conclude that the Program did not deliver fair value. It is available only if every one of the following requirements is met and documented within forty-five (45) days of your purchase date:

• You completed 100% of the Program materials, as verified by our learning platform's activity analytics;
• You attended every scheduled coaching or strategy call, or rescheduled with advance notice;
• You opened and maintained an active Amazon Professional Seller account in good standing;
• You submitted applications to a minimum of fifty (50) qualified wholesale suppliers, brands, or authorized distributors, using the outreach approach taught in the Program;
• You maintained timestamped outreach logs in a CRM or spreadsheet documenting each application, the date sent, and the response received;
• You achieved a response rate of at least twenty percent (20%), meaning no fewer than ten (10) supplier replies, or documented every follow-up attempt made where replies fell short;
• You secured at least one approved wholesale account and placed at least one inventory purchase order, or you documented in writing each application that was denied and the stated reason;
• You demonstrated at least thirty (30) consecutive days of active, dated sourcing and account-building work;
• You submitted a signed written declaration, under penalty of perjury, stating that you completed each requirement above and that the Program did not provide fair value to you;
• You provided us with full access to your logs, seller account records, and supplier correspondence within seven (7) days of our request to verify them.

The Satisfaction Guarantee may be used only once, is non-transferable, and is available only to the original purchaser. It does not apply to amounts discounted or promotionally priced, to unpaid balances, or to third-party costs you incurred, including inventory, prep, freight, software subscriptions, or professional fees.

A guarantee claim must be submitted as a single, complete package in writing to support@apexnavigator.com within the forty-five (45) day window. Incomplete or partial submissions will not be reviewed, and the window will not be extended to allow you to complete them. We determine eligibility in our reasonable discretion, and our determination is final.

Chargebacks. You agree to contact us and attempt in good faith to resolve any billing concern before initiating a chargeback or payment dispute. Filing a chargeback while retaining access to the Materials is a material breach of these Terms. We may immediately suspend access, pursue recovery of the disputed amount plus any fees and costs, and submit records of your enrollment, access logs, and participation to the payment processor.

You are responsible for any taxes, duties, bank charges, or currency conversion fees associated with your purchase.

9. Confidentiality; Intellectual Property; Use of Materials

All Materials, and all trademarks, service marks, logos, trade dress, curricula, frameworks, and methodologies associated with Apex Navigator, are and remain our exclusive property or that of our licensors. No ownership rights transfer to you.

Information shared inside the Program — including supplier sources, pricing data, negotiation approaches, internal processes, and other clients' business information — is confidential. You agree not to disclose it outside the Program during or after your participation.

If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without obligation or compensation to you.

10. Testimonials; Promotional Use; Likeness

If you voluntarily provide a testimonial, review, screenshot, case study, interview, or result, you grant us a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, edit, and display that content along with your first name, last initial, city, likeness, and voice for marketing and promotional purposes across any medium.

You represent that any information you share in a testimonial is truthful and that you have the right to share it. You may withdraw consent for future use by writing to support@apexnavigator.com; we will make commercially reasonable efforts to stop future use, but we are not required to recall materials already published or distributed.

11. Disclaimers; No Guarantee of Results; Third-Party Services

The Services and Materials are provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any Material will remain accurate as third-party platforms and policies change.

We do not control and are not responsible for Amazon, suppliers, distributors, brands, software vendors, payment processors, prep centers, freight forwarders, or any other third party. Account suspensions, ungating denials, listing removals, supplier refusals, and similar outcomes are decisions of those third parties, not of Apex Navigator.

12. Limitation of Liability

To the fullest extent permitted by law, Apex Navigator, its owners, officers, employees, coaches, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost inventory value, lost data, loss of goodwill, or business interruption, arising out of or relating to the Services, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Services will not exceed the total amount you actually paid to us for the Program giving rise to the claim during the twelve (12) months preceding the event that gave rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you. In that case, our liability is limited to the greatest extent permitted by applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Apex Navigator and its owners, officers, employees, coaches, and contractors from and against any claims, demands, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services or Materials; (b) your business activities, listings, or transactions; (c) your breach of these Terms; (d) your violation of any law or third-party right, including any marketplace policy or supplier agreement; or (e) any content you post in the community.

14. Termination; Suspension

We may suspend or terminate your access to any or all of the Services, immediately and without notice, if we reasonably determine that you have breached these Terms, engaged in prohibited conduct, initiated an improper chargeback, or created risk or legal exposure for us or other clients.

You may stop using the Services at any time. Termination does not entitle you to a refund except as expressly stated in Section 8, and does not relieve you of any outstanding payment obligation.

Sections 5 (use restrictions), 7 (non-solicitation), 9 (confidentiality and intellectual property), 10 (testimonials), 11 (disclaimers), 12 (limitation of liability), 13 (indemnification), 15 (dispute resolution), and 18 (miscellaneous) survive termination.

15. Dispute Resolution; Arbitration; Class Action Waiver

Please read this section carefully — it affects how disputes are resolved.

Before filing any claim, you agree to first contact us at support@apexnavigator.com and to attempt in good faith to resolve the dispute informally for at least thirty (30) days.

If the dispute is not resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its applicable consumer arbitration rules, seated in New Castle County, Delaware. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. All claims must be brought in your individual capacity. You and Apex Navigator each waive any right to bring or participate in a class, collective, consolidated, or representative action. An arbitrator may not consolidate claims or preside over any form of representative proceeding.

Either party may bring an individual claim in small claims court if it qualifies. Nothing in this section prevents either party from seeking injunctive relief in court to protect intellectual property or confidential information.

16. Third-Party Services; External Platforms

The Services may reference, link to, or be delivered through third-party platforms, including learning management systems, community software, scheduling tools, chat widgets, payment processors, and sourcing or analytics software. Those platforms are governed by their own terms and privacy policies, and we are not responsible for their availability, accuracy, pricing, security, or conduct.

Any purchase or account you establish with a third party is solely between you and that third party.

17. Modifications; Updates to Services and Terms

We continuously improve our Programs. We may add, modify, retire, or replace Materials, modules, coaches, community platforms, call schedules, or delivery formats at any time, provided the overall value of the Program you purchased is substantially maintained.

We may also modify these Terms as described in Section 1. If a change is material, we will make reasonable efforts to notify enrolled clients by email or through the platform.

18. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy and any program-specific agreement you sign, constitute the entire agreement between you and Apex Navigator and supersede all prior discussions, representations, or marketing statements.

Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.

Severability. If any provision is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign or transfer these Terms or your Program access without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.

Headings. Section headings are for convenience only and do not affect interpretation.

19. Mobile Messaging Terms; Communications

By providing your phone number, you consent to receive calls and text messages from Apex Navigator, including messages sent using an automatic telephone dialing system or prerecorded voice, regarding your strategy session, enrollment, program updates, and offers. Consent is not a condition of any purchase.

Message frequency varies. Message and data rates may apply. Reply STOP to any message to opt out of further texts, and HELP for assistance, or contact us at support@apexnavigator.com. Carriers are not liable for delayed or undelivered messages.

By providing your email address, you consent to receive service, transactional, and marketing emails from us. You may unsubscribe from marketing emails at any time using the link in any message; we may still send you transactional messages related to your account or purchase.

20. Privacy; Data Use

Our collection and use of personal information in connection with the Services is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the practices described there.
